Terms of service

These Terms of Service (the "Terms") are an agreement between Shipstack LLC, a Wyoming limited liability company whose address is 30 N Gould St, Suite #68891, Sheridan, WY 82801, USA ("Ringzel", "we", "us" or "our") and you. We operate the https://ringzel.com website, app.ringzel.com and related platforms (together with the services described below, the "Services"). These Terms govern your use of the Services.

By accessing or using the Services, building or testing a receptionist, forwarding calls to the Services or subscribing to a plan, you acknowledge that you have read, understood and agree to be bound by these Terms. If you do not agree, you must not use the Services.

1. Key definitions

  • "Services": our website, subdomains, web applications, related software, the Ringzel AI receptionist and website chat, and any other services, features or content we make available.
  • "Subscriber" ("you" or "your"): the business or organisation that builds, tests or subscribes to a Ringzel receptionist, and any individual acting on its behalf. Where the context requires, "you" also includes any visitor who uses our website.
  • "User": any individual you authorise to access your Ringzel account.
  • "Caller": any person who telephones a number forwarded to the Services, or who uses a website chat provided through the Services.
  • "Customer Content": information you or your Users provide to the Services (including business details, instructions, questions, prices, hours and uploaded material), together with call audio, messages and chat content generated when Callers interact with the Services on your behalf.
  • "Outputs": recordings, transcripts, summaries, check reports, messages, bookings, lead details and any other material the Services generate from calls or chats.
  • "Plan": the Basic, Professional or Premium plan, or any other plan we offer, as described on our pricing page.
  • "Subscription": your paid access to a Plan for a monthly or yearly billing period.
  • "Trial": the free trial described in section 11.
  • "DPA": our Data Processing Addendum at https://ringzel.com/en-gb/dpa/, which forms part of these Terms.
  • "Content": all information, text, images, audio, data, code or other materials accessible through the Services, including Customer Content and Outputs.

2. Acceptance and eligibility

  • Agreement to Terms: by using the Services, you agree to these Terms and to comply with all applicable laws and regulations. If you do not agree, do not use the Services.
  • Business use: the Services are provided for business use. You must be at least 18 years old to use them.
  • Authority: if you use the Services on behalf of a business or organisation, you represent that you are authorised to bind that business or organisation to these Terms, and "you" refers to it.

3. Changes to these Terms

  • Right to update: we may update or modify these Terms from time to time to reflect changes in our business practices or the Services, to comply with law, or for other reasons. The "Last updated" date shows when the Terms were last revised.
  • Notice to Subscribers: if a change materially affects your Subscription, we will email you at least 30 days before the change applies to you.
  • Acceptance: your continued use of the Services after a change takes effect signifies your acceptance of the revised Terms. If you do not agree, you should stop using the Services and cancel your Subscription before the change takes effect.

4. About the Services

4.1 What the Services do

Ringzel is an automated AI receptionist for businesses. You keep your own telephone number and forward the calls you choose to the Services. The Services answer those calls in your business name, tell the Caller that they are speaking to an automated receptionist, ask the questions you have set, follow the instructions you give, and pass the details to you. After each call you can receive a recording, a transcript, a summary and a check report produced by a separate automated check.

Depending on your Plan, the Services may also provide a website chat for your website, book appointments into your calendar, transfer calls, route Callers to the right person in your team, connect to other tools you use, and help with reputation management. Features by Plan are shown on our pricing page.

4.2 Building and testing

You can build and test a receptionist on our website before you subscribe. To build it, we look up your business listing and read your public website. Test calls made in your browser are handled and recorded in the same way as other calls so that you can review them.

4.3 Not an emergency service

Ringzel is not an emergency service and cannot send help. It passes on the instructions you configure. By default, if a Caller describes an immediate danger to life, it tells them to hang up and call 999; if a Caller reports a smell of gas, it gives the gas emergency number for the region (0800 111 999 in Great Britain, 0800 002 001 in Northern Ireland). It does not decide for itself whether something is dangerous.

4.4 No professional advice

The Services do not provide, and must not be relied on for, medical, dental, veterinary, legal, tax, financial, electrical, gas, structural, security or any other professional or regulated advice. The Services may communicate information and instructions that you configure, and you are responsible for them. Any Output and any information we provide is for general information only. You and your Callers should consult qualified professionals for specialised advice.

4.5 Disclaimer of agency

We are not a law firm, financial institution, regulated telecommunications provider, emergency service or professional adviser. Your use of the Services does not create an agency, fiduciary, professional or lawyer-client relationship between you (or your Callers) and us.

5. Accounts and security

  • Account creation: you may need to register for an account to access certain Services. You agree to provide accurate and up-to-date information and to promptly update any changes, including your business details, prices, hours and emergency instructions.
  • Account security: you are responsible for keeping your account credentials confidential, for the actions of your Users, and for all activity under your account. If you suspect unauthorised use, notify us immediately at hello@ringzel.com.
  • Suspension: we may suspend or terminate your account, with or without notice, if we reasonably believe you have breached these Terms or applicable law, if your use of the Services may put Callers at risk or create liability for us or other users, or if fees remain unpaid after we have reminded you. Where it is lawful and practical, we will tell you why.

6. Acceptable use

6.1 Compliance with laws

You agree to use the Services in compliance with all laws, regulations and industry rules that apply to you, your business and your Callers, including data-protection, privacy, electronic-communications, call-recording, consumer-protection, marketing and sector-specific rules.

6.2 Prohibited conduct

You must not, and must not allow anyone else to:

  • interfere with or disrupt the Services, our servers or networks, or those of our providers;
  • transmit viruses, malware or any other malicious code;
  • use data mining, robots, scrapers or similar data gathering or extraction tools without our prior written consent;
  • impersonate another person or business, or misrepresent your affiliation with any person or entity;
  • configure the Services to deceive Callers about who they are speaking to, or to pretend to be a person;
  • use the Services to make or support unsolicited marketing calls, or for any fraudulent, harassing, defamatory, discriminatory or unlawful purpose;
  • use the Services to collect information you are not entitled to collect, or to process special category data in breach of applicable law;
  • represent, imply or create the impression that you are partnered with, affiliated with, endorsed by, authorised by or acting on behalf of us, or use our brand, name or logos, except as permitted under section 8;
  • upload or share any content that infringes intellectual property rights, violates privacy rights or is otherwise unlawful; or
  • resell, sublicense or provide the Services to third parties except as we expressly agree in writing.

6.3 Monitoring

We may monitor use of the Services for security, operational, quality and compliance reasons, subject to our Privacy Policy, the DPA and applicable law.

7. Customer Content and Outputs

  • Ownership: you retain all ownership rights in your Customer Content. As between you and us, Outputs generated for you belong to you.
  • Licence to us: you grant us a worldwide, non-exclusive, royalty-free, sublicensable (to our sub-processors and service providers, only to provide the Services) and transferable (as part of a transfer of our business under section 25) licence to host, store, reproduce, process, transmit, display and adapt Customer Content and Outputs to the extent necessary to provide, secure, support and improve the Services and as described in the DPA. Where we process personal data within that content, we do so as described in the DPA.
  • Your responsibilities: you represent and warrant that you have all rights needed to submit Customer Content, that your instructions and content are accurate and lawful, and that they do not infringe the rights of any third party.
  • Our rights: we have the right, but no obligation, to review, restrict or remove Customer Content that we reasonably believe breaches these Terms or applicable law.
  • Copyright complaints: if you believe content made available through the Services infringes your copyright, contact us at hello@ringzel.com with enough detail for us to identify the material and assess the complaint.

8. Intellectual property and use of our brand

8.1 Our intellectual property

The Services, including all logos, trade marks, service marks, trade names, designs, text, graphics, software and content (excluding Customer Content and Outputs), are owned by or licensed to us and are protected by intellectual property laws. This includes the name "Ringzel", our logos, our domain names, and our brand styling and get-up (together, our "Brand Assets"). You may not use our intellectual property or Brand Assets without our express prior written consent.

8.2 No right to claim a partnership or endorsement

Unless we have given you express prior written consent, you must not state, imply, or create or allow any impression that you are a partner, official partner, reseller, authorised reseller, distributor, affiliate, agent, representative, sponsor, certified or approved provider of ours, or that you are endorsed by, accredited by, working with or otherwise commercially connected to us. Without limiting this, you must not:

  • describe yourself or your business as being "in partnership with", "partnered with", "working with", "powered by", "official", "authorised", "certified", "approved", "accredited" or "endorsed by" Ringzel;
  • use our Brand Assets in your company name, product name, trading name, logo, domain name, subdomain, email address, social media handle or account name, app listing, marketplace listing or business directory entry;
  • register, apply to register or use any trade mark, domain name or handle that consists of, contains or is confusingly similar to our Brand Assets;
  • use our Brand Assets in paid search keywords, advertising copy, display names, page titles, meta tags, alt text, hidden text, structured data or other metadata in a way that suggests affiliation, endorsement or a commercial relationship;
  • issue any press release, public announcement, case study, pitch, investor material or marketing material that names us or presents us as a partner, supplier, customer or backer of your business; or
  • hold yourself out as having authority to make representations, give commitments, quote prices, sell or enter into obligations on our behalf.

8.3 Permitted factual references

You may make accurate, factual, plain-text references to us where honestly necessary to identify us (for example, telling your own customers that calls to your business are answered using Ringzel, or naming us in a genuine comparison or review), provided you do not use our logos or stylised marks, do not imply endorsement, partnership or any commercial relationship, do not use our Brand Assets more prominently than your own, and comply with applicable law. Nothing in this section restricts any right you have that cannot lawfully be restricted, including honest comparative advertising permitted by law.

8.4 Consent is limited and revocable

Any consent we give under this section is non-exclusive, non-transferable and limited to the specific use, wording, media, territory and period we approve. Consent given for one use is not consent for any other use. We may withdraw consent at any time by written notice, and on withdrawal you must stop the use and remove or take down the relevant material within five (5) business days.

8.5 Brand guidelines

Where we approve use of our Brand Assets, you must comply with any brand guidelines we provide, must not alter, distort, animate, recolour, translate or combine them with other marks, and must not use them in any way that is misleading, disparaging, unlawful or damaging to our reputation or goodwill. All goodwill arising from your use of our Brand Assets accrues to us.

8.6 Enforcement

You acknowledge that a breach of this section 8 would cause us harm that damages alone would not adequately remedy. In addition to any other right or remedy, we may seek an injunction, interim relief, specific performance or other equitable relief in any court of competent jurisdiction, without needing to prove actual loss and, where the law allows, without giving an undertaking in damages, a bond or other security. We may also take any other step we consider necessary to stop the unauthorised use, including issuing takedown or infringement notices to hosting providers, domain registrars, app stores, advertising platforms, marketplaces, search engines and social media platforms; starting domain name dispute or trade mark opposition proceedings; suspending or terminating your account under section 21; and bringing claims for trade mark infringement, passing off, unfair competition, breach of contract or any other available cause of action. To the extent permitted by law, you will reimburse our reasonable costs and legal fees of enforcing this section against you. This section 8 survives termination of these Terms.

8.7 Reporting misuse

If you become aware of anyone misusing our Brand Assets or misrepresenting a relationship with us, please tell us at hello@ringzel.com.

8.8 Feedback

If you send us feedback or suggestions about the Services, you grant us an unrestricted, perpetual, irrevocable, worldwide, royalty-free licence to use that feedback for any purpose without compensation to you.

10. Software licence and updates

  • Licence grant: subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to access and use the Services during your Trial or Subscription for your internal business purposes.
  • Restrictions: you must not reverse engineer, decompile, disassemble or otherwise attempt to derive the source code, prompts, models or underlying structure of the Services (except where the law expressly permits this despite this restriction); rent, lease, lend, sell, redistribute or sublicense the Services; modify or create derivative works based on the Services; or use the Services to build a competing product.
  • Updates: we may update, improve or change the Services, including the underlying models and providers, from time to time. We will not make a change that materially reduces the core functionality of your Plan during a paid billing period without telling you.

11. Free trial

  • No card is needed to start.
  • The 14-day Trial begins when you create your Ringzel account.
  • If you cancel before day 14, you owe nothing.
  • If you do not cancel, your chosen Plan starts when the Trial ends and fees become payable in accordance with section 12.
  • If no payment details are on file when the Trial ends, Ringzel stops answering your calls. We keep your account and settings for 30 days so you can add payment details and carry on; after that we may close the account.
  • We may limit Trials to one per business, and may end a Trial early if it is used in breach of these Terms.

12. Plans, fees and payment

12.1 Prices

Paying yearly gives you 12 months for the price of 10. Every Plan includes unlimited calls, with no per-call charges. The features included in each Plan are shown on our pricing page.

PlanMonthlyYearly
Basic£99 a month£990 a year
Professional£179 a month£1,790 a year
Premium£299 a month£2,990 a year

12.2 Taxes

Ringzel does not currently charge VAT. If we become required to charge VAT or any other tax, we will add it to our prices as the law requires and tell you before it applies. You are responsible for any taxes, duties or charges that apply to you in connection with your use of the Services, other than taxes on our income.

12.3 Billing and payment methods

Fees are billed in advance for each monthly or yearly billing period. You must provide valid payment details. By providing them, you authorise us and our payment provider to charge the applicable fees to your payment method on each renewal date until you cancel.

12.4 Refunds

Monthly Subscriptions: cancellation takes effect at the end of the month you have paid for, and we do not refund part months.

Yearly Subscriptions: cancellation takes effect at the end of the year you have paid for. The Services keep working until then, and we do not refund unused months.

Any other refund is at our discretion, except where the law requires otherwise.

12.5 Late payment

If a payment fails or is not made on time, we will remind you. If it remains unpaid, we may suspend or terminate your access to paid features. Suspension does not remove your obligation to pay amounts already due.

13. Subscription term, renewal and cancellation

  • Term: after any Trial, your Subscription runs for the monthly or yearly billing period you choose.
  • Automatic renewal: your Subscription renews automatically at the end of each billing period for another period of the same length, unless you cancel before the renewal date.
  • Scope of obligations: with each renewal, your and our obligations continue for the new billing period. We do not owe obligations beyond the then-current period, except those that survive termination.
  • Cancelling: monthly Plans have no minimum term. You can cancel from your account or by emailing us. Cancellation takes effect at the end of the billing period you have paid for.
  • When your Subscription ends, your receptionist stops answering. You are responsible for changing your call forwarding before the end date so that calls are not lost.

14. Plan and pricing changes

  • Changes to Plans and pricing: we may update Plan structures, inclusions and pricing from time to time.
  • Notice: we will give you at least 30 days' notice by email before any price change or material change to your Plan applies to you. The change applies from your next billing period after the notice period ends.
  • Changing Plan: you can move between Plans. Plan changes take effect from the start of your next billing period unless we agree an earlier change.
  • Bespoke arrangements: where we agree bespoke terms with you in writing, those terms apply together with these Terms.

15. Unlimited calls: fair use and abuse

Every Plan includes unlimited calls. Unlimited calls are provided for the genuine inbound calls of your own business. They do not cover automated, artificially generated or abusive traffic (for example, call floods, test traffic generated by software, or calls routed from other businesses you do not own), or reselling the Services. If we reasonably believe your use falls outside this, we may apply reasonable, temporary safeguards (such as rate-limiting) to protect the Services, and we will contact you to resolve it.

17. Service performance and availability

  • Reasonable skill and care: we will provide the Services with reasonable skill and care.
  • Availability: we work to keep the Services running without interruption, but we cannot promise they will never be interrupted, delayed or unavailable. The Services depend on telephony, speech, AI and hosting providers and on your own phone line and call forwarding. If an outage stops calls being answered, we will tell you as soon as we reasonably can.
  • No guarantee of results: we do not guarantee any specific outcome from using the Services, including the accuracy or completeness of any Output, that any particular call will be answered or handled successfully, that a Caller will book or buy, or any business, commercial or conversion result.

18. Disclaimer of warranties

  • As-is basis: to the fullest extent permitted by law, the Services (including any software, content, Outputs and materials) are provided "as is" and "as available", without warranty of any kind other than those expressly set out in these Terms.
  • No additional warranties: to the fullest extent permitted by law, we disclaim all implied warranties, conditions and terms, including those of satisfactory quality, merchantability, fitness for a particular purpose, non-infringement, and that the Services will be uninterrupted or error-free.
  • Business decisions: all business, commercial, financial and operational decisions you make based on the Services or their Outputs are solely your responsibility. To the extent permitted by law, we are not liable for losses arising from your reliance on Outputs.

19. Limitation of liability

19.1 Excluded losses

To the maximum extent permitted by law, we are not liable (whether in contract, tort including negligence, breach of statutory duty or otherwise) for any:

  • loss of profits, revenue, business, jobs, bookings, anticipated savings, goodwill, reputation or opportunity;
  • loss, corruption or unavailability of data (including call recordings, transcripts, messages or contact records);
  • business interruption or loss of use of the Services;
  • missed, unanswered, incorrectly handled, delayed or poor-quality calls or chats, or any other consequence of a Caller's interaction with the Services; or
  • indirect, incidental, special, consequential, punitive or exemplary losses, even if we were advised of the possibility of such losses.

19.2 Aggregate cap

Subject to section 19.4, our total aggregate liability to you under or in connection with these Terms, the DPA and your use of the Services (whether in contract, tort including negligence, breach of statutory duty or otherwise) will not exceed the greater of: (a) the total fees you actually paid us for the Services in the twelve (12) months immediately before the first event giving rise to liability; or (b) one hundred pounds sterling (£100).

19.3 Connected events

A series of connected events, or repeated events of the same type, is treated as a single event for the purpose of the cap in section 19.2.

19.4 What we cannot exclude

Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be limited or excluded.

19.5 Your responsibility

You acknowledge that you are responsible for configuring the Services appropriately for your business and jurisdiction (including notices, instructions, recording retention and Caller consent; see section 16), and that we are not liable for losses arising from your configuration of the Services or from your or your Callers' breach of applicable law.

20. Indemnification

You agree to indemnify, defend and hold harmless Shipstack LLC, its affiliates, and their respective directors, officers, employees and agents from and against any losses, liabilities, claims, demands, damages, fines, costs or expenses (including reasonable legal fees) arising out of or relating to:

  • your breach of these Terms or the DPA;
  • your use or misuse of the Services, including the information and instructions you configure;
  • your violation of any third-party rights, including intellectual property or privacy rights;
  • your violation of any applicable laws or regulations; or
  • your unauthorised use of our Brand Assets, or any statement or impression you create that you are partnered with, affiliated with, endorsed by or acting on behalf of us, in breach of section 8.

21. Suspension and termination

  • Termination by you: you may stop using the Services and cancel your Subscription at any time, as described in section 13. To close your account, contact us at hello@ringzel.com.
  • Termination by us: we may suspend or terminate your access to the Services, with or without notice, if we reasonably believe you have breached these Terms or applicable law, if fees remain unpaid, or if continuing to provide the Services would expose us, Callers or other users to legal, security or safety risk. We may also stop offering the Services, or a Plan, on at least 30 days' notice.
  • Effect of termination: when your access ends, your receptionist stops answering and you must change your call forwarding. Return and deletion of data is described in the DPA.
  • Survival: any provision that by its nature should survive termination will survive, including sections 7, 8, 12 (for amounts owing), 16, 18, 19, 20, 23 and 25.

22. Force majeure

We are not liable for any failure or delay in performing our obligations to the extent it is caused by events beyond our reasonable control, including natural disasters, epidemics, war, terrorism, riots, embargoes, acts of government, failures of public telecommunications or internet networks, failures of our third-party providers, cyber-attacks or power failures.

23. Governing law and disputes

  • Governing law: these Terms, your use of the Services, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them are governed by the laws of the State of Wyoming, USA, without regard to its conflict of laws rules.
  • Jurisdiction: the state and federal courts located in Wyoming, USA have exclusive jurisdiction to settle any such dispute or claim.
  • Informal resolution first: before starting any proceedings, you agree to contact us at hello@ringzel.com and use reasonable efforts to resolve the matter informally for at least thirty (30) days.
  • Individual claims only: to the extent permitted by law, any claim you bring against us must be brought in your individual capacity and not as a plaintiff or class member in any purported class, collective, representative or consolidated proceeding.
  • Limitation period for business customers: where you use the Services for business purposes, any claim you have against us must be started within twelve (12) months of the event giving rise to it, failing which the claim is permanently barred, except where a longer period cannot lawfully be excluded.

24. Consumers

The Services are intended for businesses. If you are nonetheless a consumer under the law that applies to you, nothing in these Terms affects your statutory rights, and some disclaimers or limitations in these Terms may not apply to you.

25. Miscellaneous

  • Entire agreement: these Terms, together with the DPA, our Privacy Policy, our Cookie Policy and any other terms we agree with you in writing, are the entire agreement between you and us about the Services and supersede all prior agreements, understandings and communications about them.
  • No waiver: our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.
  • Severability: if any provision of these Terms is found invalid or unenforceable, it will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.
  • No partnership or agency: nothing in these Terms creates a partnership, joint venture, franchise, employment or agency relationship between you and us. Neither party has authority to bind the other, to make representations on the other's behalf or to incur any obligation in the other's name.
  • Assignment: we may assign or transfer these Terms, in whole or in part, including to an affiliate or in connection with a merger, acquisition or sale of assets. You may not assign or transfer these Terms or any rights or obligations under them without our prior written consent.
  • Third-party rights: except as expressly stated, no person other than you and us has any right to enforce these Terms.
  • Notices: we may give you notices by email to the address on your account or by posting them in the Services. You may give us notices by email to the address in section 26.
